These documents apply to the Helios website, accounts and software supplied by Develop Daily Limited. Read them before creating an account, purchasing, downloading or using Helios.

Terms of service

1. About us and these terms

Helios is provided by Develop Daily Limited (“Develop Daily”, “we”, “us” or “our”), a company registered in England and Wales under company number 16335558. Our statutory company details are shown in the footer. You can contact us at support@helios-nt.com.

These Terms of Service, together with the Software Licence Agreement, Refund Policy and Risk Disclosure below, form the agreement between you and us for the Helios website, account, software, documentation, updates and related services. The Privacy Notice explains how we use personal information but does not form part of the contract.

By selecting the acceptance box at checkout, purchasing, downloading, installing or using Helios, you agree to this agreement. If you do not agree, do not use Helios.

2. Eligibility

You must be at least 18, legally capable of entering into this agreement and legally permitted to use Helios and trade the relevant products in your jurisdiction. If you use Helios for a business, you confirm that you have authority to bind that business. We do not assess whether trading is suitable for you.

3. Helios and third-party services

Helios is an analysis, charting, order-entry and order-management tool used with NinjaTrader and other independent services. We are not your broker, exchange, clearing firm, investment adviser, commodity trading adviser, fiduciary or account custodian, and we do not hold your trading funds.

NinjaTrader, brokers, exchanges, prop firms, market-data providers and our account, payment, hosting and communications partners operate under their own terms. Their availability, decisions, rules and performance are outside our control. You are responsible for obtaining and maintaining compatible hardware, software, accounts, permissions, data subscriptions and internet access.

4. Plans, prices and payment

The plan, currency, price, taxes where applicable, billing interval and included features are shown before you place an order. Payment is processed securely by our third-party payment partner. We do not receive your full card number.

Monthly and yearly subscriptions renew automatically at the interval and price shown at checkout until cancelled. You may cancel from your Helios account. Cancellation stops the next renewal and access ordinarily continues until the end of the paid period. One-time licences do not renew.

If we change a subscription price, we will give reasonable advance notice and the change will apply from a later renewal. You may cancel before it takes effect. Failed or reversed payments may result in suspension after reasonable retry and review.

5. Your responsibilities

You must:

  • provide accurate account information and keep your credentials and licence key secure;
  • understand and test each feature on a simulation account before live use;
  • check every instrument, quantity, order, stop, target and account setting;
  • monitor positions and maintain an independent way to manage or close them;
  • comply with applicable law and all broker, exchange, platform and prop-firm rules; and
  • tell us promptly about suspected unauthorised access or a material software fault.

You must not use Helios for market manipulation, spoofing, evasion of trading controls, infringement of another person’s rights, unlawful access or any other illegal or abusive purpose.

6. Availability, updates and changes

Helios is beta software and may contain errors or experience interruptions. We may provide fixes, security updates and compatibility changes, and may require an update where reasonably necessary. We do not guarantee uninterrupted availability or compatibility with every third-party configuration.

We may make reasonable changes to Helios or these terms for security, legal, technical or product reasons. If a change materially disadvantages an active subscriber, we will give reasonable notice where practicable and provide the ability to cancel before it takes effect. Urgent security or legal changes may take effect sooner.

7. Suspension, termination and discontinuation

We may suspend or terminate access if payment is overdue, a licence is shared or misused, use creates a security or legal risk, or you materially breach this agreement. Where appropriate, we will give notice and a reasonable opportunity to remedy the issue.

If we permanently discontinue Helios during a prepaid subscription period, we will provide an appropriate remedy, such as continued access for the paid period, replacement functionality or a proportionate refund. On termination you must stop using and delete Helios, except where applicable law permits otherwise.

8. Consumer rights and liability

Nothing in this agreement excludes rights or liability that cannot lawfully be excluded. If you are a consumer, Helios and our services are supplied with applicable statutory rights, including rights concerning satisfactory quality, description, fitness for a disclosed purpose and reasonable care and skill.

We are responsible to consumers for foreseeable loss caused by our breach of this agreement or failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable, was not caused by our breach, or results from market movements, your trading decisions or settings, or independent third-party systems outside our reasonable control.

Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited. The additional business-user limitations in the Software Licence Agreement apply where you use Helios wholly or mainly for business purposes.

9. General

If a provision is unlawful or unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver. You may not transfer this agreement without our consent. We may transfer it as part of a sale, reorganisation or transfer of Helios provided this does not reduce a consumer’s rights.

No third party may enforce this agreement under the Contracts (Rights of Third Parties) Act 1999. This agreement does not exclude liability for fraud or prevent either party relying on statements that legally form part of the contract.

10. Complaints, law and courts

Please send complaints to support@helios-nt.com, including your account email, order date and a description of the issue. We will review the complaint and respond within a reasonable time.

This agreement is governed by the law of England and Wales. The courts of England and Wales have jurisdiction, except that consumers retain any mandatory protections and rights to use the courts available under the law of the country where they live.

Privacy notice

1. Controller and contact details

Develop Daily Limited is the controller of personal information used to operate Helios. Our statutory company details are shown in the footer. Privacy questions and rights requests can be sent to support@helios-nt.com.

2. Information we collect

  • Account information: name, email address, account identifier, verification state and account timestamps.
  • Purchase information: selected plan, price, currency, customer, checkout, payment and subscription references, payment status, renewal and cancellation status, and accepted legal version.
  • Licence and delivery information: licence, entitlement, activation, download and session records, masked or protected licence-key information, device name and a hashed device identifier.
  • Support information: messages, troubleshooting details, refund or dispute information and our responses.
  • Technical and security information: IP address, request time, browser or app information, error and security events, and rate-limit or fraud-prevention records.

Our payment partner receives payment-card details directly. We receive transaction references and status information, not your full card number or security code. We do not intentionally collect brokerage passwords or require access to your trading funds.

3. Why we use information and our lawful bases

  • To create and secure accounts, take payment, supply downloads, issue licences, manage subscriptions and provide support: necessary to perform our contract with you.
  • To prevent fraud, enforce licence limits, secure the service, diagnose faults and improve reliability: our legitimate interests in operating and protecting Helios and its users.
  • To keep tax, accounting, consumer-consent and transaction records and respond to lawful requests: compliance with legal obligations.
  • To establish, exercise or defend legal claims and manage refunds or disputes: our legitimate interests and legal rights.
  • To send optional marketing: consent where required, or another lawful basis permitted for existing customers. You may opt out at any time.

We do not use solely automated decision-making that produces legal or similarly significant effects. Automated security and payment-status checks may temporarily suspend or end software access when a full refund or payment dispute is confirmed. You may contact us to request human review of an incorrect or exceptional outcome.

4. Who receives information

We share information only where needed with trusted third-party partners that provide account authentication, database and website hosting, payment and subscription processing, transactional communications, security and technical support. We may also share information with professional advisers or authorities where legally necessary.

These providers process information under their own terms and data-protection obligations. We do not sell personal information.

5. International transfers

Some providers may process information outside the United Kingdom. Where UK data protection law requires safeguards, we rely on an adequacy regulation, the UK International Data Transfer Agreement or Addendum, or another lawful transfer mechanism. Contact us if you would like information about the relevant safeguard.

6. Retention

We keep information only as long as reasonably necessary for the purposes above. Account and licensing records are normally retained while the account or entitlement remains active and for a reasonable period afterwards. Transaction, consent, tax and accounting records are normally retained for up to six years after the relevant transaction or relationship. Security logs are normally retained for up to 12 months, unless an incident, dispute or legal requirement justifies longer retention.

We may retain a minimal record after deletion where needed to meet legal obligations, prevent fraud, record an opt-out or establish or defend a legal claim.

7. Your rights

Depending on the circumstances, you may have rights to access, correct, erase or restrict your information, object to processing, receive portable information, and withdraw consent. These rights are subject to legal conditions and exceptions.

Send a request to support@helios-nt.com. We may need to verify your identity. You may also complain to the UK Information Commissioner’s Office at ico.org.uk.

8. Security and changes

We use technical and organisational safeguards intended to protect personal information, including authenticated access, restricted database rules, protected licence keys and expiring download links. No internet service is completely secure.

We may update this notice to reflect legal, technical or operational changes. We will publish the updated date and provide additional notice where a material change requires it.

Necessary site storage

Necessary technology only

Helios does not currently use advertising or analytics cookies. The website and our trusted third-party partners use only the browser storage and similar technology necessary to remember your basket, maintain secure account access, process payments and prevent fraud. Blocking or clearing this necessary storage may empty your basket or sign you out. If we introduce non-essential technology, we will update this notice and request consent where the law requires.

Software licence agreement

1. Who we are and what this agreement covers

This End User Licence Agreement (the “Agreement”) is between you and Develop Daily Limited (“Develop Daily”, “we”, “us” or “our”), company number 16335558. Our statutory company details are shown in the footer. This Agreement governs your download, installation and use of Helios, including its indicators, order-entry tools, account features, updates and accompanying documentation.

By purchasing, downloading, installing or using Helios, you agree to this Agreement. If you do not agree, do not download, install or use the software.

2. Licence grant

While your entitlement remains active, we grant you a limited, personal, non-exclusive, non-transferable and non-sublicensable licence to install and use Helios for your own lawful trading-related purposes. Helios is licensed, not sold.

You may install Helios on any number of devices that you own or control, but only one authenticated Helios session may be active under a licence at any one time. Starting a new session may end or replace the previous session.

3. Accounts, licence keys and connectivity

  • You must provide accurate account information and keep your credentials and licence key secure.
  • You must not share an account or licence key or allow another person to use your entitlement.
  • You are responsible for activity performed through your account unless caused by our failure to use reasonable care.
  • Helios may periodically contact our licensing service to confirm your entitlement.
  • Following a successful check, Helios may continue offline for up to 24 hours. Access may stop when that period expires or when a replaced session reconnects.

4. Restrictions

Except where applicable law expressly permits it, you must not:

  • copy, sell, rent, lease, sublicense, distribute, publish or commercially exploit Helios;
  • transfer your licence, account or licence key to another person without our written consent;
  • reverse engineer, decompile, disassemble, modify or create derivative works from Helios;
  • remove ownership notices or circumvent licensing, security, session or access controls;
  • use Helios unlawfully, to interfere with a third-party system, or to facilitate market abuse; or
  • represent that Helios, Develop Daily or any output from the software guarantees a trading result.

5. Ownership

Helios, its source code, design, documentation, branding and all related intellectual property remain owned by Develop Daily or its licensors. This Agreement grants only the limited right to use Helios described above. No ownership rights are transferred.

6. Plans, updates and third-party services

Monthly and yearly licences remain active through the paid subscription period. One-time licences provide ongoing use of the purchased version, subject to this Agreement, technical compatibility and any rights stated at purchase. We may provide fixes, security updates or feature changes and may require an update where reasonably necessary for security, compatibility or legal compliance.

Helios operates with third-party products and data, including NinjaTrader. Those products are governed by their own terms and may change or become unavailable. Develop Daily Limited is not affiliated with, endorsed by or sponsored by NinjaTrader, CME Group, any broker, exchange or proprietary trading firm. All third-party trademarks belong to their respective owners.

7. Suspension and termination

You may stop using Helios at any time. We may suspend or terminate access where a subscription ends, payment remains unpaid after the payment provider’s retry process, a charge is reversed, the licence is shared or misused, or you materially breach this Agreement. Where appropriate, we will consider the circumstances and any statutory rights before acting. On termination, you must stop using and delete Helios, except where applicable law permits otherwise.

8. Software performance and consumer rights

We use reasonable care and skill in providing Helios, but trading software depends on your device, configuration, broker, platform, connectivity and market-data services. We do not promise uninterrupted or error-free operation, compatibility with every configuration, or that an order, alert, calculation or safeguard will always execute at a particular time or price.

Nothing in this Agreement excludes rights that cannot lawfully be excluded. If you are a consumer, Helios must meet the standards required by applicable consumer law, including being as described, fit for a disclosed purpose where the law requires it, and of satisfactory quality.

9. Liability

Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of rights that cannot lawfully be excluded, or any other liability that cannot lawfully be limited. You remain responsible for trading decisions, orders, account settings and checking that broker and prop-firm rules are correctly configured.

To the fullest extent permitted by law, we are not liable for any trading loss, loss of funds or trading capital, lost profit, missed opportunity, failed or missed trade, loss caused by market movement, slippage or third-party execution, or any indirect or consequential loss arising from the use of or inability to use Helios. You remain responsible for monitoring and managing every trading account, position and order. This exclusion does not apply to liability that applicable law does not allow us to exclude or limit, and nothing in this Agreement removes a consumer’s mandatory statutory rights.

10. Governing law

This Agreement is governed by the law of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer resident elsewhere may also have the benefit of mandatory local law and may bring proceedings in any court available under that law.

Refund, cancellation and chargeback policy

1. Scope and statutory rights

This policy applies to monthly, yearly and one-time Helios purchases. It does not restrict any mandatory rights you have under applicable consumer law. Where Helios is faulty, not as described or otherwise fails to meet a legal requirement, you may be entitled to a repair, replacement, price reduction or refund as the law requires.

2. Immediate digital supply and cooling-off rights

Helios is digital content made available shortly after payment. At checkout, we ask you to request immediate supply and acknowledge that, once the download or digital access begins, you will lose any 14-day cancellation right that applicable law allows you to waive. This does not affect remedies for faulty or misdescribed digital content. If that acknowledgement is not legally effective in your location, or another mandatory cooling-off right applies, that right remains intact.

3. Subscription cancellation

Monthly and yearly plans renew automatically at the interval shown at checkout until cancelled. You can request cancellation from your Helios account. Cancellation stops the next renewal; access continues until the end of the current paid period unless we tell you otherwise or the law requires a different result. Cancelling does not ordinarily create a refund for time already used or the remainder of a current billing period, but mandatory cancellation and refund rights still apply.

4. Change-of-mind and discretionary requests

We do not provide an automated or self-service refund route. Outside your statutory rights, change-of-mind refunds are not guaranteed. You may nevertheless ask us to review exceptional circumstances. Each request is considered individually, including purchase date, download and activation history, technical troubleshooting and any relevant legal rights.

5. Problems with Helios

If Helios is not working as described, contact us with your account email, order date, operating system, Helios version and a description of the problem. We may first offer reasonable troubleshooting, a repair, replacement download or update. This does not delay or remove a remedy you are entitled to by law.

6. Approved refunds

Approved refunds are returned through the original payment method unless otherwise agreed or required by law. We will process them without undue delay and within any legally required period. Your bank or card provider may take additional time to show the credit. A confirmed full refund ends the related licence, activation and download entitlement. A partial, pending or failed refund does not automatically end access and will be handled according to the agreed resolution.

7. Chargebacks and payment disputes

Please contact us first where reasonably possible so we can investigate billing or technical issues. We record chargebacks and payment disputes and may provide the payment provider with relevant order, download, activation and support records. An open dispute temporarily suspends downloads and activation. Access is restored if the dispute is resolved in our favour and revoked if the payment provider resolves it against us. Ambiguous or exceptional outcomes are reviewed by a person. These controls are subject always to applicable law and do not prevent you from exercising a lawful right to dispute a payment or ask us to review an incorrect outcome.

Futures trading risk disclosure

Trading futures involves a substantial risk of loss.

Futures are leveraged products. Leverage can amplify losses as well as gains, and you may lose all of the money committed to trading or, depending on your broker, account and market conditions, more than your initial margin. Only trade with capital you can afford to lose.

Helios is a software tool, not financial advice

Helios provides charting, calculation, order-entry and risk-management functionality. Develop Daily Limited is not your broker, investment adviser, commodity trading adviser or fiduciary. Helios does not choose trades or provide personalised advice, trade signals, recommendations or a representation that any transaction is suitable for you. Features you configure may submit, modify or cancel orders, apply stops or targets, or close positions according to your instructions and settings.

No guarantee of results

No feature, risk control, indicator, example, training material or marketing statement guarantees profit, prevents loss or predicts market behaviour. Past performance, hypothetical results, backtests, simulations and examples do not reliably indicate future results. Actual results vary because of market conditions, liquidity, slippage, commissions, latency, data quality, configuration and user decisions.

Technology and execution risk

Software, internet connections, market-data feeds, brokerage systems and exchanges can fail, delay, disconnect or behave unexpectedly. Orders may be rejected, duplicated, partially filled or filled at a different price. Alerts, calculations, stops, targets, lockouts and prop-firm safeguards may be delayed, misconfigured or unavailable. You must monitor positions independently and maintain an alternative way to manage or close trades.

Treat NinjaTrader and your broker as the source of truth for positions, working orders, fills and account balances. Do not leave Helios running unattended on the assumption that it is protecting your account.

Information and calculated levels

Market data, news, earnings information, gamma levels and other readouts may be delayed, estimated, incomplete, inaccurate or unavailable. Gamma and similar levels are calculated estimates, not predictions. Independently verify important information and do not rely on a single readout when making a trading decision.

Risk controls and trading rules

Loss limits, flat-by settings, warnings, lockouts and prop-firm controls are operational aids, not guarantees. Bugs, latency, data gaps, disconnections, configuration and overrides may prevent them from operating as expected. Helios is designed to assist with certain rules; it does not guarantee compliance with any broker, exchange, CME Group or prop-firm requirement. Rules can change and you remain responsible for knowing and following them.

Your responsibility

You decide whether futures trading is appropriate for your experience, objectives and financial circumstances. You are responsible for every order submitted through your account, checking instrument specifications and position size, understanding your broker’s terms, and independently verifying any prop-firm rules. Consider obtaining advice from an appropriately authorised professional before trading.

Use Helios on a simulation account until you fully understand its features, order behaviour and failure modes before connecting it to a funded or live account.

Third-party platforms

NinjaTrader, brokers, exchanges, market-data providers and prop firms are independent third parties. Their availability, rules and performance are outside our control. NinjaTrader is not affiliated with Develop Daily Limited and does not endorse Helios.
